ONLINE TERMS OF USE

Welcome to ACE (A Continuing Education Initiative by Abbott) program organized by Abbott Healthcare Private Limited having its registered office at 3, Corporate Park, Sion- Trombay Road, Chembur, Mumbai – 400071, India (“Abbott”) in collaboration with the software learning platform provided by and owned by Insignia Learning Pvt Ltd., 206, Shreepal Complex, Suren Road, Nr. Cinemax Theatre, Andheri (E), Mumbai 400093, India (“Insignia”) available at https://www.acelearninghub.com/ (the “ACE Platform”)

These User Terms Of Use ("Online Terms of Use") read with the Privacy Policy govern your access to and use of the ACE Platform. By accessing or using ACE Platform, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use the ACE Platform.

All references in this Online Terms of Use to “you”, “your” or “user” refer to the visitors and users of the ACE Platform.

By accessing or using the ACE Platform, you agree that you have read, understand, and agree to be bound to these Online Terms of Use.

These Online Terms of Use may be updated by us from time to time without notice to you. By accessing or continue using the ACE Platform, you agree that you have read, understood, and agree to be bound to these Online Terms of Use, as they may be amended from time to time, as well as to the terms of our Privacy Policy, which is hereby incorporated into these Online Terms of Use by reference. You are responsible for periodically reviewing these Online Terms of Use for applicable changes. Your use of the ACE Platform after posting by us of any changes to these Online Terms of Use constitutes your acceptance to those changes. If you disagree with these Online Terms of Use (as they may be amended from time to time), or are dissatisfied with the ACE Platform, your sole and exclusive remedy is to discontinue using the ACE Platform.

DISCLAIMERS

1. You acknowledge and agree that:

   1. The content of this ACE Platform is designed for use by licensed health care professionals who are Registered Medical Practitioner in India (“hereinafter “HCPs”). By registering to use and continuing navigation on ACE Platform, you agree and confirm that you are a licensed health care professional who is and/or is authorized to practice as Registered Medical Practitioner in India and is registered with the relevant regulatory authorities in this regard.

   2. The Content of the ACE Platform is offered by Abbott for informational purposes only.

   3. You also acknowledge that the ACE Platform has e-learning tools developed with the aim of enhancing skills and knowledge of those HCPs who access and use the ACE Platform, by supporting the exchange and dissemination of scientific information within the medical fraternity through interactive medical and clinical educational content in the various e-learning activities. The content, materials and information available through ACE Platform (“Content”) should not be used as a basis for any diagnosis, monitoring, management, or treatment of any medical condition. The information provided in the ACE Platform is provided by Abbott for general information purposes only, reflects the views of the speakers/ authors/ editors and/or scientific references as cited and may not provide complete medical information. It is not intended to represent Abbott’s viewpoint on the matter or to promote Abbott’s products. The ACE Platform is fundamentally focused on education, scientific exchange and sharing of experiences and practices of medical fraternity for academic discussion purposes only. It should not be construed as Abbott giving medical advice or making a recommendation, endorsement or sponsorship of any kind, nor does it seek to replace medical opinion or independent professional judgement to be exercised by participants in their clinical practice.

   4. While every effort is made to ensure the accuracy of the Content, Abbott and Insignia are not responsible for any error, omission or consequence arising from the use of this information.    5.    6. Abbott and Insignia reserves the right to make additions, deletions, or modifications to the Content of the ACE Platform at any time without any prior notification.

   7. Abbott is not responsible, and provides no warranty whatsoever, for the accuracy, effectiveness, timeliness and suitability of any information or content obtained from third parties, including any hyperlinks to or from third party sites. Your access to third- parties’ websites which may have hyperlinks to or from the ACE Platform is subject to the terms and conditions of use of such third-parties’ websites.

YOUR USE

2. You further understand, acknowledge, and agree to the following:

   1. Use of ACE Platform is voluntary and free.

   2. Abbott intends to update the ACE Platform on a regular basis but assumes no obligation to update any of the Content. The Content, program schedules and topics may be indicative and subject to change without notice at the sole discretion of Abbott. Users are requested to check the ACE Platform for latest updates in ACE program schedule and contents.

   3. By using the ACE Platform, you agree not to disrupt or intercept our electronic information posted on the ACE Platform or on any of our servers. You also agree not to attempt to circumvent any security features of our ACE Platform, and to abide by all applicable, local, state, federal and international laws, rules and regulations.

   4. You grant to Abbott the right to use all content you upload or otherwise transmit to the ACE Platform, subject to these Online Terms of Use and Abbott’s Privacy Policy in any manner Abbott chooses, including, but not limited, to copying, displaying, performing or publishing it in any format whatsoever, modifying it, incorporating it into other material or making a derivative work based on it.

   5. Except as expressly stated and agreed upon in advance by Abbott, no confidential relationship shall be established in the event that any user of the ACE Platform, should make any oral, written or electronic communication to Abbott (such as feedback, questions, comments, suggestions, ideas, etc.). If any ACE Platform requires or requests that such information be provided, and that such information contains personal identifying information (e.g., name, address, phone number), Abbott’s third-party service provider will obtain, use and maintain it in a manner consistent with our Privacy Policy. Otherwise, such communication and any information submitted therewith shall be considered non-confidential, and Abbott shall be free to reproduce, publish or otherwise use such information for any purposes whatsoever including, without limitation, the research, development, manufacture, use or sale of products incorporating such information. The sender of any information to Abbott is fully responsible for its content, including its truthfulness and accuracy and its non- infringement of any other person's proprietary or privacy rights.

3. Your use of ACE Platform requires registration of your account and for this purpose you must enter some of your personal information, including your email address, mobile number, medical college/ institution name, type of specialty and degree, MCI number and password, to create your ACE Account (“ACE Account”). You agree to provide accurate and complete information when you register with, and while you use, the ACE Platform, and you agree to keep your ACE Account information accurate, current, and complete. For such ACE Platform, you acknowledge and agree that they are designed and intended for use on an individual basis and you should not share your ACE Account and/or password details with another individual. You are responsible for maintaining the confidentiality and security of your ACE Account and for all activities that occur on or through it. You agree to immediately notify Abbott if you become aware of a security incident or breach affecting your ACE Account, including where you believe your password may have been compromised. Abbott is not responsible for any lost, stolen or compromised passwords or for any activity on your ACE Account from unauthorized users or for any losses arising out of or in connection with the unauthorized use of your ACE Account where caused by you.

4. You may delete your ACE Account at any time by sending an email to support@acelearninghub.com. Your ACE Account and all information stored in your ACE Account will be deleted upon receipt and processing of your delete request, except to the extent that we are obliged or permitted to retain the data for a certain period of time in accordance with applicable laws and regulations or to protect our legitimate business interests. Please be aware that Insignia and Abbott will follow its policies and applicable laws to define the timelines for processing your deletion request. Abbott has no responsibility for retaining/storing or backing up your ACE Account except as required by law.

5. When you use the ACE Platform, you are solely responsible for:

   1. ensuring that you are using the latest available version of the ACE Platform;

   2. ensuring that all operating systems and security software for the ACE Platform are the most up-to-date versions available;

   3. any damage to your device, and any loss or corruption of information that you store in the device that results from the use of the ACE Platform or the interaction of the ACE Platform with other platforms or programs that you may download or use;

   4. maintaining the security and confidentiality of any personal identification numbers, account information, passwords, and the like related to your Use of the ACE Platform;

   5. maintaining the physical security of your device; and

   6. ensuring that you do not misuse the ACE Platform by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful.

6. When you use the ACE Platform, you are solely responsible for:

   1. reproduce, duplicate, copy, modify, edit, improve, decompile, disassemble, decode, modify, sell, resell, reverse engineer, change or exploit the ACE Platform, their Content, their software, or any portion of any of the foregoing in any way, nor otherwise interfere with their operation or create derivative works of the ACE Platform or parts thereof;

   2. Use the ACE Platform for any commercial purpose or for any purpose in violation of local, state, national, or international laws;

   3. attempt to disable or circumvent any security or other technological measure designed to protect the ACE Platform;

   4. remove, obscure, or alter any copyright or other proprietary notations from the ACE Platform; or

   5. violate these Online Terms of Use.

7. If you use the ACE Platform in any way prohibited by these Online Terms of Use, Abbott shall be entitled to take all reasonable steps to protect the ACE Platform, which may include temporary or definitive interruption of your access to the ACE Platform and termination of your ACE Account.

MODIFICATIONS

8. Abbott may at any time update, modify, interrupt, or discontinue any or all of the functionality of the ACE Platform or their Content (including these Online Terms of Use) and make changes, corrections and/or improvements to the ACE Platform or their Content (including these Online Terms of Use), at any time without notice to you when we believe it is necessary or justified such as to take into account changes in the law, or changes to our business or services or the functionality of the ACE Platform. Abbott is not responsible for any costs, loss, or damage that you or any third party incur as the result of any modification, interruption, or discontinuance of any or all functionality of the ACE Platform.

INTELLECTUAL PROPERTY

9. The Content including information, materials, documents, graphics, text, videos and any other type of content published in the ACE Platform are the sole property of Abbott, except for information provided by third party providers under contract to Abbott, its group companies or affiliates. Subject to these Online Terms of Use, you may browse, view and access the ACE Platform and the Content, provided that downloading of Content is prohibited. Permission to use the Content is limited to fair use exceptions as provided under law granted and subject to: (1) the appropriate copyright notice should appear on all copies; (2) use of the Content for informational or personal use only and non-commercial; (3) the Content not to be modified in any way; and (4) no graphics available from the ACE Platform to be used separate from accompanying text. Abbott is not responsible for content provided by third party providers, and you are prohibited from distribution of such material without permission of the owner of the copyright therein. Except as permitted above, no license or right, express or implied, is granted to any person under any patent, trademark or other proprietary right of Abbott.

10. Portions of the ACE Platform may include material provided by third parties, in which intellectual property rights subsist (“Third Party Materials”). Abbott and Insignia acknowledge all copyrights and/or trademarks of third parties contained or appearing in the Content or on ACE Platform. The licensors of such Third Party Materials retain all of their respective right, title, and interest in and to such Third Party Materials. Although the ACE Platform are provided to you subject to these Online Terms of Use, nothing in these Online Terms of Use will be deemed to prevent, restrict, or otherwise prevent or restrict you from separately obtaining and using such Open Source Components under the applicable third party licenses or to limit your use of such Open Source Components thereunder.

11. No use of any Abbott trademarks, trade names, trade dress or Content in ACE Platform may be made without the prior written authorization of Abbott, except to identify ACE Platform or Abbott or the product or services of Abbott.

PRIVACY AND SECURITY

12. Abbott is committed to safeguarding your privacy online. We understand the importance of privacy to user and visitors to our ACE Platform. Our use of personally identifiable information is governed by Privacy Policy and by accessing and using our ACE Platform, you agree to be bound by that policy.

13. You recognize and agree that when submitting your personally identifiable information to service provider engaged for operation of ACE Platform on behalf of Abbott, while Abbott has safeguards in place to prevent unauthorized access or interception, there is no absolute guarantee of security. IN THE UNLIKELY EVENT OF AN INTERCEPTION OR UNAUTHORIZED ACCESS DESPITE OUR EFFORTS, ABBOTT SHALL NOT BE RESPONSIBLE FOR SUCH INTERCEPTIONS OR UNAUTHORIZED ACCESS, OR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) SUFFERED BY A CUSTOMER OR USER, EVEN IF ABBOTT HAS PREVIOUSLY BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ABBOTT DOES NOT WARRANT, EITHER EXPRESSLY OR IMPLIEDLY, THAT THE INFORMATION PROVIDED BY ANY PERSON SHALL BE FREE FROM INTERCEPTION OR UNAUTHORIZED ACCESS AND DOES NOT PROVIDE ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. EACH CUSTOMER IS RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF HIS OR HER OWN PASSWORD.

LIMITATION OF LIABILITY

14. Abbott does not assume any liability for the materials, information, Content and opinions provided on, posted to, or otherwise available through, the ACE Platform. Reliance on these materials, information and opinions is solely at your own risk. Abbott disclaims any liability for injury or damages resulting from the use of the ACE Platform, or the Content contained thereon.

15. ABBOTT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND OR NATURE WITH RESPECT TO THE INFORMATION OR CONTENT POSTED ON THE ACE PLATFORM. ABBOTT HEREBY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, CREATED BY LAW, CONTRACT OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, ACCURACY, APPLICABILITY, COMPLETENESS, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON- INFRINGEMENT. IN NO EVENT SHALL ABBOTT BE LIABLE FOR ANY DAMAGES OF ANY KIND OR NATURE, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL (INCLUDING LOSS OF PROFIT, BUSINESS AND OPPORTUNITY) CONSEQUENTIAL OR INCIDENTAL DAMAGES ARISING FROM OR IN CONNECTION WITH THE EXISTENCE OR USE OF THE ACE PLATFORM AND/OR THE CONTENT POSTED ON THE ACE PLATFORM, REGARDLESS OF WHETHER ABBOTT HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES.

16. THE ACE PLATFORM, THE CONTENT, AND THE PRODUCTS AND SERVICES PROVIDED ON OR AVAILABLE THROUGH THE ACE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. IN NO EVENT SHALL ABBOTT, OR ITS SUBSIDIARIES, AFFILIATES, VENDORS, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES OR AGENTS (HEREINAFTER “ABBOTT PARTIES”) BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE ACE PLATFORM, THE SITE CONTENT, ANY SERVICES PROVIDED ON OR THROUGH THE ACE PLATFORM OR ANY LINKED SITE, INCLUDING ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, LOSS PROFITS BUSINESS AND OPPORTUNITY, OR DAMAGES RESULTING FROM DELAY, INTERRUPTION IN SERVICE, VIRUSES, LOSS OF DATA, DELETION OF FILES OR ELECTRONIC COMMUNICATIONS, OR ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE ACE PLATFORM OR THE CONTENT, WHETHER OR NOT THERE IS NEGLIGENCE BY ABBOTT AND WHETHER OR NOT ABBOTT HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES.

17. You agree that regardless of any applicable law to the contrary, you cannot file a claim or cause of action arising out of or related to the ACE Platform or these Online Terms of Use more than one (1) year after such claim or cause of action arose.

18. ADDITIONAL LEGAL NOTICES, DISCLAIMERS, AND OTHER ONLINE TERMS OF USE MAY APPLY TO THIS AND OTHER WEBSITES OWNED OR OPERATED BY ABBOTT, ITS SUBSIDIARIES OR AFFILIATES.

GENERAL

19. You agree that these Online Terms of Use and the Privacy Policy describe the entire agreement between us with respect to its subject matter. The ACE Platform is created and is operated under the laws of India. The laws of the India will control the terms provided in these Online Terms and Conditions. If a concern arises between you and Abbott, our goal is to learn about and address your concerns as quickly as possible. If you have a potential concern, please contact us at support@acelearninghub.com. If we are unable to resolve a potential concern to your satisfaction then you and Abbott hereby consent and submit to the exclusive jurisdiction of the courts of Mumbai, India for any action so arising out of these Online Terms of Use. If a court of competent jurisdiction in Mumbai, India finds that any provision of these Online Terms of Use is invalid or unenforceable, you agree that the other provisions of these Online Terms of Use will remain in full force and effect. This is the entire agreement between the parties relating to the matters contained herein.
